Reseller program terms

These Reseller program terms ("Reseller terms", version 2026-10-01) apply to every TrueProxies account that applies to or is approved for the Reseller program. They add to the Terms of Service, the Acceptable Use Policy, the Refund Policy and the Privacy Policy, which continue to apply. Where these Reseller terms and the Terms of Service differ, these Reseller terms govern the Reseller program only.
The Services are provided by TrueProxies, LLC, a Delaware limited liability company (file number 10766986), operated by John Hale, with its address at 131 Continental Dr, Suite 305, Newark, DE 19713, United States ("TrueProxies", "we", "us"). "You" means the business or person holding the account.
1. Application and review
Any customer with a verified email and an account in good standing may apply from their TrueProxies account. Applying grants no reseller access. We review each application, may ask for more information or for identity or business verification, and may approve or decline it at our discretion. We usually answer within two business days.
Approval is personal to the account that applied and may not be transferred or shared. We may set a date before which a declined, withdrawn or revoked applicant may not reapply.
2. Prepaid wallet
Reseller purchases are prepaid. You fund a wallet by card or crypto through a top-up invoice. Each top-up is between $50 and $10,000, and top-ups are limited to $5,000 in any rolling 24 hours. Unpaid top-up invoices count toward that limit until they are paid or cancelled.
The wallet pays for purchases and renewals for your managed customers. Wallet funds earn no interest, are not a deposit and are not paid out on request. Refunds of invoices paid from the wallet return to the wallet. If we end your access under section 10, we refund any unused wallet balance to the original payment method where the payment provider allows it, after pending refunds and disputes have settled.
A chargeback, or a reversal that takes your wallet below zero, suspends your account and your managed customers' services until the balance is restored. We may deduct from your wallet amounts we had to return to a payment provider.
3. Reseller pricing
Your discount is a single percentage off our list prices, agreed at approval and shown in your account. It applies to every purchase and renewal you make for a managed customer. We may change the maximum discount and our list prices at any time; each invoice records the list price and the discount actually applied when it was created.
Each offer has a minimum price. Your discount never takes an offer below its minimum price: the sale happens at the minimum price and the invoice records the smaller discount.
You set the prices you charge your own customers. Purchases for your own use are billed at list price unless your account says otherwise.
4. Managed customers
You create a managed customer record for each of your customers. Managed customers have no TrueProxies login, receive no email from us, cannot hold API keys, claim trials or pay us directly, and cannot join the Reseller program. You are responsible for identifying them, for everything they do through the services you buy for them, and for all charges those services incur.
Invoices for a managed customer's services are issued to you. You may suspend, resume or close a managed customer at any time; closing is permanent. We may suspend a managed customer's services for misuse, non-payment or a legal requirement, and you cannot resume a managed customer we have suspended.
You may keep at most 1,000 live managed customers unless we agree otherwise in writing.
5. Acceptable use and compliance
The Acceptable Use Policy applies to you and to every managed customer. You must take reasonable steps to prevent prohibited use, act on abuse reports we forward to you within one business day, and stop a managed customer's use when we ask you to.
- Do not sell, sublicense or provide the Services to other resellers, or to anyone who will resell them.
- Do not share proxy credentials or connection details outside your own customers.
- Complete identity or business verification when we ask, before or after approval. We screen applicants and resellers against sanctions lists and decline or end access where a sanction, export restriction or legal requirement applies.
- Do not misrepresent who you are, who your customers are, or how the Services are used.
6. Support
You provide support to your own customers. TrueProxies supports you, the account holder, through the Support link in your account, and does not correspond with your customers. Service status, credentials and usage for each managed customer are available to you in your account and through the API.
7. API keys and confidentiality
API keys with reseller permissions can create managed customers, buy and pay from your wallet, and read your customers' usage. You are responsible for every request made with your keys. Keep keys, wallet details and our commercial terms confidential, and revoke a key you no longer control.
8. Affiliate program
Purchases made by a reseller or for a managed customer earn no affiliate commission, for you or for anyone who referred you.
9. Branding
You sell under your own name and at your own prices. Do not use the TrueProxies name, logo or marks in your customer-facing materials, and do not describe yourself as a partner, agent or representative of TrueProxies, without our written approval. The proxy hostnames your customers connect to are TrueProxies hostnames.
10. Suspension, revocation and reapplying
We may suspend or revoke reseller access if you breach these Reseller terms, the Terms of Service or the Acceptable Use Policy, if a payment is reversed, if verification fails, or if the law requires it. Where practical we tell you first and give you a reasonable time to fix the problem.
You may ask us to end your reseller access once every managed customer is closed, your wallet balance is zero, and no top-up, refund or dispute is open. Ending reseller access does not close your TrueProxies account.
After revocation, services already bought for managed customers run until they expire unless section 5 required us to stop them. Your account returns to list pricing.
11. Changes to these terms
We may change these Reseller terms. We email the account holder at least 14 days before a change takes effect, unless the change is required by law or reduces your obligations. Continuing to buy for managed customers after the effective date accepts the change. The version in force is shown in your account and at the top of this page.
12. Relationship, liability and law
You are an independent business. Nothing in these Reseller terms creates a partnership, joint venture, agency or employment relationship. Sections 12 to 20 of the Terms of Service (disclaimer of warranties, limitation of liability, indemnification, termination, force majeure, modifications, dispute resolution, governing law and general provisions) apply to the Reseller program. Your indemnity under the Terms of Service extends to claims arising from your customers' use of the Services.
